Food Lion Guiding Stars Night Sweepstakes


To participate in this Sweepstakes, you must agree to and abide by these Official Rules.

NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. 

  1. Sponsor: Food Lion, LLC (“Food Lion”), 2110 Executive Drive, Salisbury, NC 28145 (“Sponsor”).

  1. Administrator: Probability LLC (“Probability”), 2 Woodstock Meadows Ln, PO Box 1484, Woodstock, NY 12498 (“Administrator«).
  1. Eligibility: The «Food Lion Guiding Stars Night Sweepstakes” («Sweepstakes«) is open to persons who are legal residents of Delaware, Georgia, Kentucky, Tennessee, Virginia, West Virginia, North Carolina, South Carolina, Pennsylvania, or Maryland who are at least eighteen (18) years of age (or age of majority in their jurisdiction of residence, whichever is older) and are a teacher who scheduled and attended along with their class a Food Lion Guiding Stars Night event during the Promotion Period (as defined below) (“Entrants”). Sweepstakes is open only to teachers meeting the above criterion and not the general public. Without limiting the foregoing, any employees, consultants, independent contractors, and interns who have, within the past six months, performed services for Sponsor, Administrator, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes or any Food Lion Guiding Stars Night programming and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or win the prize. «Immediate family members» shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. «Household members» shall mean people who share the same residence at least three months a year, whether related or not. Void where prohibited or restricted by law.
  1. Sweepstakes Schedule: The Sweepstakes begins on or about 12:01 a.m. Eastern Time (“ET”) on August 1, 2024 and ends at 11:59 p.m. ET on March 31, 2025 (“Promotion Period”). Administrator’s computer is the official clock for this Sweepstakes.
  1. Sweepstakes Entry:

    2. During the Promotion Period, navigate the Internet to http://foodlionguidingstarsnight.com/ (“Website”) and schedule (or have another authorized representative of your school schedule) a Food Lion Guiding Stars Night event (“Event”) at your local Food Lion store  your class.† You may schedule an Event for anytime during the 2024/2025 school year prior to March 31, 2025.  Date of Event is subject to availability of local Food Lion store as determined by store manager; availability of a given Food Lion store for an Event is not guaranteed and is offered to teachers on a first come-first basis, with Sponsor and Administrator disclaiming any liability under any legal theory if an interested teacher is not able to schedule an Event at a local Food Lion store during the Promotion Period for any reason. Then, after the Event**, return to the Website.   You may only enter the Sweepstakes AFTER your class has participated in the Event. To enter, complete the Sweepstakes entry form by providing the date you attended the Event, your full name, email address, phone number, school name, grade(s) of the students who participated in the Event, and the number of students who participated in the Event.  

    †Instead of scheduling an Event on the Website, you or another authorized representative of your school may contact your local Food Lion store directly via telephone. 

    (If your class attended an Event prior to the Promotion Period, you cannot enter the Sweepstakes based on that Event. However, absent extraordinary circumstances, you/your school are welcome to schedule another Event for your class during the Promotion Period and then enter the Sweepstakes based on that Event.)

    **If local Food Lion store advises Sponsor that a class attending an Event engaged in inappropriate behavior of any kind (e.g., vandalizing of store property, theft of store property, fighting at store location) before, during or after the Event, the corresponding entry may be voided and such teacher/class may not be permitted to schedule another Event at any Food Lion store or enter the Sweepstakes without liability or explanation of any kind.

    Click the check box signifying that you meet the eligibility requirements, have read and agreed to these Official Rules and the Sponsor’s Legal  Terms and Conditions (https://foodlion.com/pages/terms-and-conditions) and Privacy Statement (https://foodlion.com/privacy-statement). IF THIS BOX IS NOT CHECKED, YOU WILL NOT BE ABLE TO COMPLETE THE ENTRY PROCEDURE AND ENTER THE SWEEPSTAKES EVEN IF YOU AND YOUR CLASS ATTENDED AN EVENT DURING THE PROMOTION PERIOD. Then, click the designated button to submit your entry. All entries must be received by 11:59 PM ET on March 31, 2025.  Normal internet access and usage charges imposed by your on-line service will apply.  It is your sole responsibility to notify the Sponsor of a change in your email address or phone number. Be sure to obtain the consent of supervisory personnel of appropriate authority at your school prior to scheduling an Event, attending an Event with your class and entering the Sweepstakes.  

    A teacher may enter the Sweepstakes one (1) time for each Event scheduled and attended during the Promotion Period. Multiple entries and/or mass entry attempts in violation of this entry limitation will result in disqualification of all entries by such teacher and possibly school. Entries must be manually key-stroked by the entrant; use of automated entry devices or programs, or entries by third parties are prohibited. Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. Proof of submission of entry does not constitute proof of receipt of same or proof of entry. By entering this Sweepstakes, entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Sweepstakes. 

    If Event is scheduled during the Promotion Period but cannot be conducted during the Promotion Period due to any occurrence beyond the reasonable control of Sponsor (e.g., natural disaster, civil commotion, pandemic), no entry will be available in conjunction therewith; and in such case, Sponsor and Administrator shall not have any liability under any legal theory.

  1. Random Drawing: Potential prize winner will be selected via a random drawing, on or about April 3, 2025 from among all eligible entries received during the Promotion Period. The random drawing will be conducted by the Administrator, an independent judging organization, whose decisions are final and binding on all matters related to the Sweepstakes.
  1. Winner Notification: Potential winner will be notified by email and/or phone on or about April 3, 2025. In order to remain eligible, potential prize winner must sign and return within three (3) business days, an Affidavit of Eligibility, Release and Indemnification, a Publicity Release where allowed by law, as well as other documents that Sponsor or Administrator may require. If potential prize winner does not reply to such notification and return the required documents within the indicated time period and/or if the email notification is returned as undeliverable after two (2) attempts, such potential prize winner may be disqualified and an alternate potential prize winner selected from all remaining eligible entries received during the Promotion Period (time permitting).
  1. Sweepstakes Prize, Approximate Retail Value («ARV») and Odds:

    2. One (1) winner (“Winner”): will receive a video chat experience with an astronaut for the winning teacher’s class that attended the corresponding Event (specific astronaut to be selected at Sponsor’s sole discretion; astronaut may not currently be on active duty) (“Prize”). There is no retail value associated with the prize/ video chat experience. (No personal benefit will be awarded to Winner.)

    The Video Chat experience consists of one (1) approximately thirty (30) minute conversation with an astronaut to be conducted via video conference on a date & time approved by Sponsor also subject to astronaut’s professional availability, within twenty-one (21) days of winner confirmation. Sponsor  will select service provider for video chat experience in its sole discretion.  If teacher’s class is not available within twenty-one [21] days of Prize award for video chat experience on a date & time approved by Sponsor for any reason, the Prize may be forfeited without compensation of any kind and an alternate potential prize winner selected from all remaining eligible entries received during the Promotion Period (time permitting) and Sponsor will have no liability to the Winner/School. .

    Video chat is solely for the Prize winner and their students who attended the Event, up to a maximum of approximately fifty (50) students (actual maximum depends on various factors including size of classroom.) It is therefore possible that a student in the Prize winner’s class who attended the Event will not be allowed to participate in the video chat. In addition, a student in the Prize winner’s class who did not attend the Event will be allowed to attend the video chat only if there is available space in the classroom as determined by Sponsor/Administrator/School in their sole discretion. In all such cases, Sponsor and Administrator shall not have any liability of any kind.

    As between Sponsor/Administrator on the one hand teacher/class/school on the other, teacher/class/school will be solely responsible for any and all costs associated with accessing and using technology necessary to attend video chat experience. 

    Video chat experience is intended solely for the private, non-commercial use of the winner, their school and the students who attend same. Any other use of video chat experience (for example, re-broadcast, re-publication or other commercial exploitation of same by teacher/school/students) is strictly prohibited and may result in forfeiture of Prize (if applicable), with the understanding that Sponsor and/or the astronaut may also seek other remedies at law or in equity to protect their respective rights.

    If Winner, their school or their students are unavailable on such date/time once scheduled for any reason, Prize may be forfeited in its entirety and the Sponsor will have no liability under any legal theory to the Winner, school or students. Absent extraordinary circumstances, video chat experience will NOT be re-scheduled once Sponsor has approved date & time of same. Video chat is solely for the Prize winner and their class. The agenda for the video chat experience will be determined by Sponsor and the astronaut in their sole discretion. Video chat experience is planned to last approximately thirty (30) minutes; but, should duration of video chat be less than thirty (30) minutes, Sponsor, the astronaut (as well as Administrator) shall not have any liability of any kind. Video chat experience may not be private and may include one or more representatives of Sponsor. To the fullest extent permitted by law, Sponsor and/or their designees may condition attendance at video chat experience on teacher and parent/legal guardian of student, granting permission to Sponsor or its designees  to record the video chat experience for among other purposes, including possible use for advertising/promotional purposes; and, failure to timely return any requested permission may result in Sponsor cancelling video chat experience (if teacher fails to grant permission) or denial of admission to video chat experience (if parent/legal guardian of student fails to grant permission).As between teacher/school/students on the one hand and Sponsor/astronaut on the other, Sponsor/astronaut own any and all right, title and interest in and to the video chat experience. Without limiting the foregoing, prize winner and the parent/legal guardian of student attending the video chat experience grant to Sponsor and their designees any and all copyrights, trademarks, rights of privacy, publicity or other intellectual property or other legal or moral rights in the video chat experience, without further notice, consent or compensation of any kind. Prize winner and the parent/legal guardian of student attending the video chat experience each agree upon the request of Sponsor and/or their designees and without compensation of any kind, to execute any additional documents so as to effect, record or perfect such grant of rights. Prize winner and the parents/legal guardians of students attending the video chat experience agree to act in an appropriate, well-behaved and respectful manner toward the astronaut during and in conjunction with the video chat experience, including without limitation (i) refraining from antagonizing the astronaut by asking them questions which are offensive, insulting, impolite, irrelevant to the agenda of the video chat experience or of a personal/private nature; (ii) wearing appropriate attire during the video chat experience; and (iii) refraining from otherwise acting in an anti-social manner (e.g., constantly interrupting or heckling the astronaut.). Failure to do so (as determined by Sponsor and/or the astronaut in their sole discretion, perhaps without warning if deemed sufficiently egregious by Sponsor and/or astronaut) will result in immediate termination of the video chat experience.  In case where video chat experience is so terminated, Sponsor (as well as Administrator and astronaut) shall not have any liability to Prize winner under any legal theory and each reserves the right seek legal sanctions as they see fit. Prize winner and the parents/legal guardians of students attending the video chat experience further agree not to record, stream, otherwise publish, or make available to any third party the video chat experience.

    No substitution or transfer of prize except with Sponsor’s permission (which may be granted or withheld for any reason) or where required by law. 

    Should the video chat experience be interrupted after commencement for any reason (even if reasonably foreseeable to Sponsor), the sole liability of Sponsor will be to conduct the video chat experience at another time; and, if this is not feasible or practicable for any reason, then Sponsor (as well as Administrator and astronaut) shall not have any liability under any legal theory.

    Odds of winning the prize depend on the total number of eligible Entries received during the Promotion Period. 

  1. Conditions and Limitations of Liability By participating, each Entrant agrees: (a) to be bound by these Official Rules and the decisions of Sponsor and Administrator, which shall be final in all respects; and (b) to release, discharge and hold harmless Sponsor, the Administrator, Meta Platforms, Inc., TikTok Inc., the astronaut personally, and as applicable each of their respective advertising and promotion agencies, each of the foregoing entities’ respective parent, subsidiary, related, affiliated and successor companies, and each of their respective officers, directors, agents, representatives and employees (collectively, the «Released Parties») from any and all actions, claims, injury, loss or damage, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Sweepstakes or any Sweepstakes-related activity, and/or from Entrant’s acceptance, receipt, use or misuse of Prize. 

    By accepting the Prize, Winner grants Sponsor and its designees permission to use their name, voice, likeness, photograph, prize information, biographical data and city and state of residence on a winner’s list and for programming, publicity and promotional purposes, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Sweepstakes subject to the laws of the United States only. All federal, state and local laws and regulations apply.

    Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind affecting the Sweepstakes in any manner, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes (including but not limited to the scheduling of Events) is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries, scheduling of Events or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes, who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such instance, Sponsor reserves the right to conduct the Sweepstakes and award the prize by means of a random drawing from among all eligible entries received prior to and/or after (as appropriate) the action taken by Sponsor or otherwise in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. Notice of termination/modification/suspension of Sweepstakes will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries or the scheduling of Events; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry or participation to be received on account of technical problems or traffic congestion on the Internet or at any website/platform, or any combination thereof, including any injury or damage to any person’s computer related to or resulting from participation in or downloading any materials from this Sweepstakes. Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision.

    Entrants further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PERSON, WHETHER OR NOT THE INDIVIDUAL IS A ENTRANT IN THE SWEEPSTAKES, MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

    SPONSOR MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 

  1. Disputes: Choice Of Law/Choice of Forum: Except where prohibited, Entrants agree that any and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrant and/or Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of North Carolina, without regard for conflicts of law doctrine of the State of North Carolina or any other jurisdiction and all proceedings shall take place in the State of North Carolina. Entrants agree to the jurisdiction of such courts, and waive any right of change of venue, forum nonconveniens or the like. Entrants further agree that they will not be permitted to obtain awards for, and entrants hereby waive all rights to claim, indirect, punitive, incidental, special and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased as well as any and all rights to injunctive or equitable relief. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
  1. Winner’s List: For the name of the Winner, mail a self-addressed, stamped envelope to: Food Lion Guiding Stars Night Winner, c/o Probability, PO Box 1559, Social Circle, GA 30025-1559. All such requests must be received by April 30, 2025.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram, TikTok or any other social media platform. You hereby agree to release Meta Platforms, Inc.,  TikTok Inc., and the owner of any other social media platform from any and all liability arising from, or in connection with, this Sweepstakes.
